SDNY Chief Bankruptcy Judge Cecelia Morris has issued a decisive ruling in favor of Friedman Kaplan client the Manville Personal Injury Settlement Trust (the “Manville Trust”), resolving in the Manville Trust’s favor a series of legal questions arising from a claim made by Thorpe Insulation Company Asbestos Settlement Trust (the “Thorpe Trust”), seeking indemnification for millions of dollars in payments it had made to approximately 5,000 asbestos health claimants in California between 2010 and 2017. More

U.S. District Judge Laura Taylor Swain of the Southern District of New York today issued a decision denying Solus Alternative Asset Management’s request for a preliminary injunction to block a refinancing by New Jersey-based home builder Hovnanian Enterprises, Inc. with new debt provided by FK client GSO Capital Partners, a credit-oriented alternative asset manager that is part of Blackstone Group. The case has been closely followed by the financial press and, as noted by the Wall Street Journal, has “riveted credit derivatives market participants.”  More

New York Judiciary Law § 487 is a familiar adjunct to suits alleging negligence, breach of fiduciary duty, and/or breach of an engagement agreement against lawyers and law firms. After reciting those claims in the complaint, plaintiff will plead that counsel was “guilty of deceit or collusion” or “consent[ed] to deceit or collusion,” in either case “with intent to deceive the court or any party,” and based thereon will assert a violation of § 487(1). More

The Appellate Division of the New York Supreme Court, 1st Judicial Department has affirmed a decision by The Hon. Eileen Bransten of the New York Supreme Court granting a motion to dismiss claims of legal malpractice and claims under Judicial Law Section 487 made against Friedman Kaplan’s clients, an AM Law 100 law firm and an individual partner of that firm. The claims were brought by a former client of the firm’s in connection with patent litigation in which our clients had represented the plaintiff.  More

Trilogy International Partners, a privately held wireless telecommunications operator, has announced that it has entered into an agreement to effect a business combination with Alignvest Acquisition Corporation (TSE: AQX.A), a Canadian special purpose acquisition corporation, based on a Trilogy enterprise value of US $875 million.  The transaction will constitute AQX's qualifying transaction. On a weekend in early January 1986, Bruce Kaplan, Eric Seiler, and Bob Kaplan flew to Florida, where Ed Friedman was vacationing, to discuss the forming of a new firm. Bruce and Ed were partners in a four-year-old firm then known as Stein Zauderer Ellenhorn Friedman & Kaplan; Eric and Bob were associates.
